Sale and Use Tax on Internet Purchases

"Alternate use tax"

will be passed on to the purchaser and collected by using the same method of payment
that was used for the purchase or the method used to directly bill the customer.
Bills for sales tax shall be paid within 10 days of the receipt of that bill (payment
of alternate use tax MAY be deducted from use tax that the resident is directly
subjected to). Purchases by exempt organizations may request a full refund for any
alternate use tax collected, collected money will be refunded upon the acceptance
of the exemption by the original taxed party. If your transaction is subject to
an "alternate use tax" you will be notified of the charge.

International Customers
Duties and Taxes are not included in the paid purchase invoice. These duties and
taxes, if any, are the responsibility of the receiver and ought to be paid directly
to the carrier or the local taxation authority, pursuant to the tax legislation
applicable to you.
Any tax charge to Web Direct Brands, Inc. or its sites will be billed to the customer
using the same method used to pay for the goods purchased. There will be a $15 handling
fee for added for any taxes charged to Web Direct Brands, Inc. or its sites.
Offer & Acceptance
The receipt of an order number or an email order confirmation does not constitute
the acceptance of an order or a confirmation of an offer to sell. Web Direct Brands,
Inc. reserves the right, without prior notification, to limit the order quantity
on any item and/or to refuse or limit service to any customer. Verification of information
may be required prior to the acceptance of any order. Prices and availability of
products on the sites are subject to change without notice. Errors will be corrected
when discovered, and Web Direct Brands, Inc. reserves the right to revoke any stated
offer and to correct any errors, inaccuracies, or omissions (including after an
order has been submitted).
Shipping Damage & Lost or Stolen Items
Items damaged, lost or stolen during shipping will be refunded in accordance with
the shipper's refund policy. Please contact UPS at 1-800-742-5877, FedEx at 1-800-463-3339
or your shipper to find out more about its shipping policies. All packages must
be inspected upon acceptance for damage internally and externally. There is a 10
day period in which damage can be reported for a damage claim. Once a package is
delivered, by customer or left at property, the package and its contents are
then the responsibility of the customer.
Additional Shipping Charges
Additional freight truck shipping charges could be, but will not be limited to:
residential delivery charge, delivery address correction, delivery address change,
lift gate service, in house service. Changes made to shipping will be billed to
the customer by the same method the customer used to pay for the original order.
Freight truck prices quoted are for commercial back-of-truck delivery, charges for
additional services will be extra.
Verification of Contact & Shipping Information
Web Direct Brands, Inc. ships to the address provided by the user. After an order
is placed, Web Direct Brands, Inc. confirms the contact information and shipping
address via the email address provided in the order information. The customer accepts
full responsibility for any and all costs and fees if a shipping error occurs due
to incorrect or missing information. All undeliverable items will be treated as
Returned Items (See the Returns Policy) and will be charged any and all applicable
fees.
Missing Items / Incorrect Items
In order for us to take action, any item missing or incorrect item from you order must be reported to the company within 10 days of the order's receipt. Contents of package must be identified through physical inspection and not through accounting of packing slip.
Return / Cancelation Policy
Web Direct Brands, Inc., guarantees satisfaction. We will refund the purchase price of any in-stock item that the buyer is not satisfied with. Returns are accepted within 30 days from the date of purchase. Please note returned items are subject to a 15% restocking fee and when shipped original shipping charges are deducted (an adjustment for actual shipping charges from a promotional, discounted, or free shipping offer will be applied to the original purchase). We must receive the item in the same condition in which it was originally shipped by Web Direct Brands or its suppliers, with return shipping prepaid. Items not received in the same condition will have additional restock fees deducted to recover the cost of returning the item to resellable condition or discounted sale. Custom made items, special ordered items, food service items that have been used, or electrical parts may not be returned.

Failure to follow the return instructions will result in additional re-stocking

Warranty Limitations
Once the customer has an approved return authorization number, the customer will
be instructed to ship the item(s) to Web Direct Brands, Inc., or to the manufacturer.
The item(s) are required to be packed in a properly sized box with the unique return
authorization number printed or written on the outside of the box. The return shipping
label should be pre-paid unless the product(s) issue(s) are covered under the manufacturer’s
warranty. If covered under warranty, Web Direct Brands, Inc., will reimburse the customer for
certain shipping expenses. After the repair has been completed and the item returned, the customer
is required to mail a copy of the paid receipt for ground shipping (USPS, UPS ground, or Fedex ground,)
along with proof that is was covered under warranty and the return authorization number. Web Direct Brands,
Inc., will reimburse the customers shipping costs for the item(s) under warranty via company check. Please
allow up to 6 weeks for processing.
Warranty Limitations
Web Direct Brands, Inc. will not be responsible for any charges or damages incurred
in the removal of the defective parts for repair, or the reinstallation of these
parts after repair. Warranties shall be considered void if damage to the product(s)
was due to improper installation, improper use, or if damage was caused by outside
forces or acts of god.
This warranty provision limits you specific legal rights: Our responsibility for
defects is limited to repair or replacement. All express and implied warranties
for the product, including, but not limited to, any implied warranties, conditions
of merchantability or fitness for a particular purpose, are excluded and barred
without limitation. Web Direct Brands, Inc. does not accept liability for consequential
or incidental damages, including, but not limited to, any liability for third-party
claims against you for damages or for products not being available for use.
It is expressly agreed that our liability will be limited to the amount you paid
for the product that is the subject of the claim.
Warranty Returns Policy
Some products sold by Web Direct Brands, Inc. are either warranted directly by the manufacturer or warranted through us. Return of items that are warranted by its prospective manufacturer will be governed by that manufacturer's policy. Items that are warranted through Web Direct Brands, Inc., after receiving a return authorization number via email, are subject to the following return shipping options:
a. Return the defective part via either traceable US mail, or UPS/Fed Ex ground and we will reimburse your shipping charges (continental US). If it is found to not be covered by a warranty, a refund will not be issued. Insurance is not required and will not be reimbursed. Boxes and packing material will not be provided or reimbursed. All packages must be packaged to the specific shipping service provider's safe handling standards.
b. Return the defective part via any insured priority, 1, 2, or 3 day service the buyer chooses and we will expedite the repair/replacement and return the part via the same shipper using the same account that the warranted part was shipped to us with. Shipping cost will not be reimbursed under this option.
Our office must receive all items before replacement parts can be shipped. If the customer would like a replacement part shipped prior to us receiving the defective part, the customer must pay full price plus shipping for the replacement part and receive a refund only if the part is found to be defective (see Advanced Replacement Returns Credit Policy for more information). Otherwise the part will be shipped back to the customer as a spare.
There will be a charge for returning parts that are shipped to us without a return authorization number or additional parts that are shipped with parts that have been authorized for return.
Advanced Replacement Warranted Goods Return Policy
Items returned for credit when an advanced replacement has been sent, will be inspected
for warrantee authorization. Defective items will be credited back to the customer
upon approval. All goods that have been found to not be defective will be returned
to the customer at their expense.
Credit Card Charge Dispute Policy
Prior to disputing a credit card charge with their bank or credit card company,
the user agrees to notify Web Direct Brands, Inc. and allow them to make a good
faith effort to remedy the dispute. The user further agrees that no dispute will
be initiated based on claims of fact that cannot be substantiated. The user further
agrees that Web Direct Brands, Inc. will have the right to recover all costs incurred
that are associated with resolving un-notified or unsubstantiated disputes ($25
minimum).

To prove our commitment to you, we will match a lower price advertised on any authorized dealer's website.
In addition to matching the lower price, we will also refund an extra 10% of the difference between the two prices.

- Price must not include a rebate or a sales price. We do not match local store prices, prices that
change when zip codes are entered, site wide coupon codes that lower a published price, etc.

Applicable Law
The Terms of Use, Privacy Policy, Shipping Policy and Returns Policy, and the relationship
between you and Web Direct Brands, Inc. shall be governed by the laws of the State
of Florida without regard to its conflict of laws provision.
Any dispute or claim in law or equity arising out of this agreement or any resulting
transaction, including disputes or claims involving the parties to this agreement,
their officers, agents, or employees, shall be submitted to neutral, non-binding
non-appearance-based mediation prior to the commencement of litigation, arbitration,
or any other proceeding before a trier of fact. The parties to the dispute or claim
agree to act in good faith to participate in mediation, and to identify a mutually
acceptable mediator. If a mediator cannot be agreed upon by the parties, each party
shall designate a mediator and those mediators shall select a third mediator who
shall act as the neutral mediator, assisting the parties in attempting to reach
a resolution. All parties to the mediation shall share equally in its cost. The
mediation should comply with the following rule: the mediation shall be conducted
by telephone, online and/or solely be based on written submissions, the specific
manner shall be chosen by the party initiating the mediation, unless personal appearances
have been mutually agreed upon prior to the commencement of mediation.
If the dispute or claim is resolved successfully through the mediation, the resolution
will be documented by a written agreement executed by all parties. If the mediation
does not successfully resolve the dispute or claim, the mediator shall provide written
notice to the parties reflecting the same, and the parties may then proceed to seek
an alternative form of resolution of the dispute or claim, in accordance with the
remaining terms of this agreement. If mediation does not successfully resolve the
dispute, you agree that any claim or dispute you may have against Web Direct Brands,
Inc. or its sites must be resolved exclusively by a state located in or federal
court corresponding to Hillsborough County, Florida except as otherwise agreed by
the parties or as described in the Alternative Dispute Resolution Option section
below. You agree to submit to the personal jurisdiction of the courts located in
or corresponding to Hillsborough County, Florida for the purpose of litigating all
such claims or disputes.
Alternative Dispute Resolution Option
For any claim, excluding claims for injunctive or equitable relief, where the total
amount of the award sought is less than $5,000 the party requesting relief may elect
to resolve the dispute in a cost effective manner through binding, non-appearance-based
arbitration. If a party should choose arbitration, they shall initiate the arbitral
process through an established alternative dispute resolution provider mutually
agreed upon by the parties. The alternative dispute resolution provider must comply
with the following rules:
1. The arbitration shall be conducted online and/or be based on written submissions,
the specific manner shall be chosen by the party initiating the arbitration;
2. The arbitration shall not involve any personal appearance by the parties or witnesses
unless otherwise mutually agreed by the parties; and
3. Any judgment on the award rendered by the arbitrator may be entered in any court
of competent jurisdiction.
Filing Claims
You agree that regardless of any statute or law to the contrary, any claim or cause
of action arising out of or related to the use of Web Direct Brands, Inc. sites
or the Terms of Use must be filed within one year after such claim or cause of action
arose or be forever barred.
Severability
If any conditions or terms are deemed invalid, void or for any reason unenforceable,
that condition shall be deemed severable and shall not affect the validity and enforceability
of any remaining condition.
Web Direct Brands, Inc. reserves the right to make changes to our sites, policies
and terms of use at any time. If Web Direct Brands, Inc. fails to exercise or enforce
any right or provision contained in the terms of use, it shall not constitute a
